General Terms and Conditions for Events Organized by Mercanis CdC3 GmbH (Event Terms and Conditions)

1. Scope

1.1 These General Terms and Conditions apply to all events organized by Mercanis CdC3 GmbH, Greifswalder Str. 208, 10405 Berlin ("Mercanis"), in particular to the B2B conference "Mercasphere" as well as workshops, keynotes, networking formats, and other accompanying event elements ("Event").
1.2 They govern the conditions of participation for all participant groups, in particular customers, suppliers, service providers, consultants, representatives of the trade press, and other persons professionally active in purchasing or purchasing-related areas ("Participants").
1.3 These Event Terms and Conditions apply exclusively to entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB).
1.4 Any deviating or supplementary general terms and conditions of the participant shall not become part of the contract unless Mercanis expressly agrees to them in writing.

2. Registration & participation

2.1 Registration for the event takes place via Eventbrite. By completing the registration, the participant makes a binding declaration of participation. Participation is free of charge.
2.2 Tickets are personalized and not freely transferable. Transfer to a substitute participant is possible, provided that Mercanis is notified in writing at least 48 hours before the start of the event, stating the name, email address, position, and company of the substitute participant.
2.3 There is no entitlement to participation. Mercanis is entitled to reject registrations for good cause, in particular if the professional suitability specified in section 2.4 is not met.
2.4 The prerequisite for participation is a professional activity in purchasing or a purchasing-related field (e.g., consulting, supply chain, procurement tech) or a professional role in the trade press.
2.5 Admission to the event is only possible with a valid ticket.

3. Services provided by Mercanis

3.1 Mercanis organizes the event with the involvement of external service providers, in particular Fotografiska Berlin GmbH ("Fotografiska") as the venue, as well as other third-party providers for technology, catering, security, registration, cloakroom, and event services.
3.2 The specific scope of services is set out in the published event program. We reserve the right to make changes to the schedule, content, speakers, or program items, provided that these do not significantly affect the overall character of the event.
3.3 There is no entitlement to specific premises, speakers, or program items.

4. Withdrawal & cancellation

4.1 Participants may cancel their participation at any time free of charge.
4.2 Mercanis may cancel or terminate the event for good cause. Good cause shall include, in particular:
  1. (a) force majeure,  
  2. (b) illness or absence of key speakers,  
  3. (c) insufficient number of participants,  
  4. (d) official requirements or safety risks,  
  5. (e) disruptions caused by the venue or third parties.
4.3 The participant shall not be entitled to claim damages as a result of the cancellation. Any expenses already incurred by the participant (e.g., travel or accommodation costs) shall not be reimbursed.

5. House rules, conduct & behavioral obligations

5.1 Participants must observe the house rules of the venue, in particular Fotografiska Berlin, as well as all safety regulations.
5.2 Participants are expected to behave in a respectful, professional manner appropriate to the occasion.
5.3 Mercanis or security personnel employed by the venue are entitled to exclude participants who disrupt the program, violate house rules, or endanger others from the event. In this case, there is no entitlement to participation or compensation.
5.4 Furniture, equipment, and technical devices must be treated with care. Damage caused by the participant through their own fault must be compensated to Mercanis.

6. Alcohol, drugs, smoking

6.1 Alcohol consumption is only permitted in the context of beverages served by the event venue.
6.2 The consumption or possession of illegal drugs is prohibited and will result in immediate expulsion and, if necessary, criminal charges.
6.3 Smoking is only permitted in designated areas.

7. Prohibited items

The following items may not be brought onto the premises:
  1. (a) Weapons or weapon-like items,
  2. (b) dangerous tools,
  3. (c) pyrotechnics,
  4. (d) other items that could endanger persons or property.

8. Use of technology

8.1 Participants may use their own technical devices (laptops, smartphones, etc.). There is no entitlement to specific technical infrastructure.
8.2 Wi-Fi, power connections, and charging points will be provided where possible, but availability and functionality cannot be guaranteed.
8.3 Mercanis is not liable for damage to participants' own devices or for technical failures.

9. Photo, video & audio recordings

9.1 Mercanis is entitled to make photo, video, and audio recordings during the event. Participants agree that these recordings may be used for the following purposes:
  1. (a) Mercanis website
  2. (b) Social media (in particular LinkedIn, YouTube)
  3. (c) Press reports
  4. (d) Marketing and communication materials
  5. (e) Internal documentation
  6. (f) Publications in the context of future events
9.2 Participants may also take photographs and film, provided this does not interfere with the proceedings.

10. Data protection

10.1 The processing of personal data is subject to the data protection provisions of Mercanis CdC3 GmbH (available at www.mercanis.com/privacy-policy ).
10.2 By participating, the participant agrees to:
  1. (a) the processing of their registration data by Eventbrite and other service providers,
  2. (b) the creation and use of photo/video recordings in accordance with Section 9,
  3. (c) the implementation of badge tracking and lead scanning, if used,
  4. (d) the disclosure of participant lists to external service providers to the extent necessary for the execution of the event.
10.3 The participant is obliged to treat the personal data of other participants as confidential and to use it exclusively for professional contact purposes.

11. Items brought along

11.1 Participants may bring their own items, provided they do not violate Section 7.
11.2 A supervised cloakroom is provided, but no liability is accepted.
11.3 Mercanis is not liable for loss, theft, or damage to items brought along.
11.4 Regulations for exhibition areas and stands are set out exclusively in a separate contract.

12. Catering & food

12.1 Participants are not permitted to bring their own food or drinks.
12.2 Mercanis accepts no liability for allergies or intolerances. Participants are obliged to inform themselves and, if necessary, refrain from consumption.

13. Safety & fire regulations

13.1 The fire safety regulations of the event venue must be observed.
13.2 Emergency exits and escape routes must be kept clear at all times.
13.3 Participants must follow the instructions of the security personnel.

14. Liability

14.1 Mercanis shall be liable without limitation for intent and gross negligence. In cases of simple negligence, Mercanis shall only be liable for breaches of essential contractual obligations (cardinal obligations). In this case, liability shall be limited to foreseeable damage typical for this type of contract.
14.2 Liability for indirect damages, lost profits, or consequential damages is excluded.
14.3 Mercanis is not liable for services and performances provided by external service providers (e.g., the event venue).
14.4 Liability for injury to life, limb, or health remains unaffected.

15. Final provisions

15.1 Amendments or additions to these GTC must be made in writing.
15.2 Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
15.3 The law of the Federal Republic of Germany applies.
15.4 The place of jurisdiction for all disputes is Berlin. However, Mercanis is also entitled to assert claims at the participant's place of business.
